NDA TOS – WASDER ALPHA/BETA

THIS AGREEMENT is made and entered into as Effective Date of Read, by and between Wasder AB, (“the Disclosing Party”) and the accepting tester/s, (“the Recipient”) (collectively, “the Parties”).

Purpose for Disclosure:  
Alpha/beta testing of the Wasder digital platform client and all subsidiary modules, including use of assets (including screenshots and other media), phrasings, plans, purposes etc.

The Parties hereby agree as follows:

1. For purposes of this Agreement, "Confidential Information" shall mean any and all non-public information, including, without limitation, technical, developmental, marketing, sales, operating, performance, cost, know-how, business plans, business methods, and process information, disclosed to the Recipient.  For convenience, the Disclosing Party may, but is not required to, mark written Confidential Information with the legend "Confidential" or an equivalent designation.  

2. All Confidential Information disclosed to the Recipient will be used solely within the designated testing forums and in-platform app and for no other purpose whatsoever. The Recipient agrees to keep the Disclosing Party’s Confidential Information confidential and to protect the confidentiality of such Confidential Information with the same degree of care with which it protects the confidentiality of its own confidential information, but in no event with less than a reasonable degree of care.  Recipient shall not make any copies of Disclosing Party’s Confidential Information except as requested by the Disclosing Party. At the request of Disclosing Party, Recipient shall return to Disclosing Party all Confidential Information of Disclosing Party (including any copies thereof) or certify the destruction thereof.

3. All right title and interest in and to the Confidential Information shall remain with Disclosing Party or its licensors. Nothing in this Agreement is intended to grant any rights to Recipient under any patents, copyrights, trademarks, or trade secrets of Disclosing Party. ALL CONFIDENTIAL INFORMATION IS PROVIDED "AS IS". THE DISCLOSING PARTY MAKES NO WARRANTIES, EXPRESS, IMPLIED OR OTHERWISE, REGARDING NON-INFRINGEMENT OF THIRD PARTY RIGHTS OR ITS ACCURACY, COMPLETENESS OR PERFORMANCE.

4.    The obligations and limitations set forth herein regarding Confidential Information shall not apply to information which is: (a) at any time in the public domain, other than by a breach on the part of the Recipient; or (b) at any time rightfully received from a third party which had the right to and transmits it to the Recipient without any obligation of confidentiality.

5.    In the event that the Recipient shall breach this Agreement, or in the event that a breach appears to be imminent, the Disclosing Party shall be entitled to all legal and equitable remedies afforded it by law, and in addition may recover all reasonable costs and attorneys' fees incurred in seeking such remedies.  If the Confidential Information is sought by any third party, including by way of subpoena or other court process, the Recipient shall inform the Disclosing Party of the request in sufficient time to permit the Disclosing Party to object to and, if necessary, seek court intervention to prevent the disclosure.  

6.    The validity, construction and enforceability of this Agreement shall be governed in all respects by the law of the State. This Agreement may not be amended except in writing signed by a duly authorized representative of the respective Parties. This Agreement shall control in the event of a conflict with any other agreement between the Parties with respect to the subject matter hereof.

These Terms govern your use of Wasder and the products, features, apps, services, technologies, and software we offe, except where we expressly state that separate terms (and not these) apply.

1. Our Services


Wasder strenghtens relationships between streamers and consumers of streamed media. To achieve this, we provide the Products and services described below to you:

Provide a personalized experience for you:

Your experience using Wasder is unlike anyone else's: from the posts, events, ads, and other content you see in our global, friends, following or group feeds, or the streamers you follow while using our features and functions. We use the data we have - for example, about the connections you make, the choices and settings you select, and what you share and do in Wasder - to personalize your experience.


Connect you with people, streamers, or groups/teams you care about:


We create connections in the gaming industry, from friends to teams to streamers or publishers. We use the data we have to make suggestions for you and others - for example, groups to join, events to attend, Pages to follow or send a message to, shows to watch, and people you may want to become friends with. Stronger ties make for better communities, and we believe our services are most useful when people are connected to people, groups, and organizations they care about.

Empower you to express yourself and communicate about what matters to you:

There are many ways to express yourself on Wasder and to communicate with friends, streamers, and others about what matters to you - for example, sharing gaming/live updates, photos, videos, or even embedding your stream on Wasder, sending messages to a friend or all of your followers, creating events or groups, or adding content to your profile. We also have developed, and continue to explore, new ways for people to use Wasder to create a stable, proactive, reliable income through the use of features found and created by Wasder, and through connections to people you connect to through Wasder. 

 

Help you discover content, products, and services that may interest you:

We show you ads, offers, and other sponsored content to help you discover content, products, and services that are offered by the many businesses, publishers and industry partners / organisations that use Wasder and our products. Our partners pay us to show their content to you, and we design our services so that the sponsored content you see is as interesting, relevant and useful to you as possible. 

Combat harmful conduct and protect and support our community:

Wasder is dedicated to creating a safe platform for every single one of our users. We are creating dedicated personell to develop structures, policies and technology that help us deal with harmful conduct towards others, or misuse of our products, as well as allowing us to constantly develop in a way that help us support the users of Wasder. We reserve the right to offer help, remove content, block access to features or the platform entirely, disabling an account or contacting law enforcement.  We do not share personal data with third parties, outside of third parties who provide technology or services used in Wasder’s platform.

Research ways to make our services better:

We engage in research and collaborate with others to improve our Products. One way we do this is by analyzing the data we have and understanding how people use our Products. 

Enable global access to our services:

To operate our global service, we need to store and distribute content and data in our data centers and systems around the world, including outside your country of residence. This data currently resides in Google servers, but may be moved to internal Wasder infrastructure in the future. 

2. Information we collect


To provide Wasder’s product, we must process information about you. The types of information we collect depend on how you use our Products, You can currently learn which information we collect by reading below, and we can delete it on request if you email us at Wasder@wasder.co, at a later stage all of these will be accessible through settings in the applications and on web. 

 

  • Information You Provide: We collect information from you when you voluntarily provide such information, such as when you register for access to the Services or use certain Services. Information we collect may include but not be limited to username, email address, and any messages, images, or other content you send via the chat feature.

  • Data We Collect Automatically: When you interact with us through the Services, we receive and store certain information such as an IP address, device ID, and your activities within the Services. We may store such information or such information may be included in databases owned and maintained by affiliates, agents or service providers. The Services may use such information and pool it with other information to track, for example, the total number of visitors to our Site, the number of messages users have sent, which features are being used the most, as well as the sites which refer visitors to Wasder. 

 

  •  Aggregated Information: In an ongoing effort to better understand and serve the users of the Services, we may conduct research on our customer demographics, interests and behavior based on the information collected. This research may be compiled and analyzed on an aggregate basis, and we may share this aggregate data with our affiliates, agents and business partners. We may also disclose aggregated user statistics in order to describe our services to current and prospective business partners, and to other third parties for other lawful purposes.

 

  • Info through other Services: You may give us permission to collect your information in other services. For example, you may connect a social networking service ("SNS") such as Facebook or Twitter to your Wasder account. When you do this, it allows us to obtain information from those accounts (for example, your friends or contacts).

 

  • Cookies: technologies such as web beacons and single-pixel gifs to record log data such as open rates for emails sent by the system.We employ cookies and similar technologies to keep track of your local computer’s settings such as which account you have logged into and notification settings. Cookies are pieces of data that sites and services can set on your browser or device that can be read on future visits. We may expand our use of cookies to save additional data as new features are added to the Service. In addition, we may use third party web site analytic tools such as Google Analytics on our website that employ cookies to collect certain information concerning your use of our Services. However, you can disable cookies by changing your browser settings. Further information about the procedure to follow in order to disable cookies can be found on your Internet browser provider's website via your help screen.

 

  • Networks and connections. We collect information about the people, groups,  accounts, hashtags, mentions and teams you are connected to and how you interact with them across our Products, such as people you communicate with the most or groups you are part of.

 

  • Your usage. We collect information about how you use our Products, such as the types of content you view or engage with; the features you use; the actions you take; the people or accounts you interact with; and the time, frequency and duration of your activities. For example, we log when you're using and have last used our Products, and what posts, videos and other content you view on our Products.

  • Information about transactions made on our Products. If you use Wasder for purchases / transaction from our marketplace, or event section, or to another user, or other financial transactions (such as when you make a purchase of time on someone’s stream or make a donation), we collect information about the purchase or transaction. This includes payment information, such as your credit or debit card number and other card information; other account and authentication information; and billing, shipping and contact details.

 

  • Things others do and information they provide about you. We also receive and analyze content, communications and information that other people provide when they use Wasder. This can include information about you, such as when others share or comment on a photo of you, send a message to you, tag you in an event, or when theres a purchase transaction between you. 

 

  • Advertisements: You may see our Service advertised in other applications or websites. After clicking on one of these advertisements and installing our Service, you will become a user of the Service. Advertising platforms, which include Twitter and Facebook (and whose SDKs are integrated within our Service), may collect information for optimizing advertising campaigns outside of the Service.

 

If you do not wish to receive personalized advertising that is delivered by third parties outside of the Wasder Service, you may be able to exercise that choice through opt-out programs that are administered by third parties, including the Network Advertising Initiative (NAI), the Digital Advertising Alliance (DAA). Our Services currently do not respond to “Do Not Track” (DNT) signals and operate as described in this Privacy Policy whether or not a DNT signal is received, as there is no consistent industry standard for compliance.

3. Where information is being processed

The Company is based in Stockholm, Sweden. No matter where you are located, you consent to the processing and transferring of your information in and to Sweden, and other countries. The laws of Sweden, and other countries governing data collection and use may not be as comprehensive or protective as the laws of the country where you live.


4. Our use of your information

We use the information you provide in a manner that is consistent with this Privacy Policy. If you provide information for a certain reason, we may use the information in connection with the reason for which it was provided. For instance, if you contact us by email, we will use the information you provide to answer your question or resolve your problem. Also, if you provide information in order to obtain access to the Services, we will use your information to provide you with access to such services and to monitor your use of such services. The Company and its subsidiaries and affiliates (the “Related Companies”) may also use your information collected through the Services to help us improve the content and functionality of the Services, to better understand our users and to improve the Services. The Company and its affiliates may use this information to contact you in the future to tell you about services we believe will be of interest to you. If we do so, each marketing communication we send you will contain instructions permitting you to "opt-out" of receiving future marketing communications. In addition, if at any time you wish not to receive any future marketing communications or you wish to have your name deleted from our mailing lists, please contact us as indicated below.

5. What is our legal base for processing data? 

We collect, use and share the data that we have in the ways described above: as necessary to fulfill our Wasder Terms of Service; consistent with your consent, which you may revoke at any time through emailing us on wasder@wasder.co, or through deleting your account through the settings/website, which is coming soon.  as necessary to comply with our legal obligations; to protect your vital interests, or those of others;as necessary in the public interest; and as necessary for our (or others') legitimate interests, including our interests in providing an innovative, personalized, safe, and profitable service to our users and partners, unless those interests are overridden by your interests or fundamental rights and freedoms that require protection of personal data.

 

6. Our disclosure of your information 


Wasder is not in the business of selling your information. We consider this information to be a vital part of our relationship with you. There are, however, certain circumstances in which we may share your information with certain third parties, as set forth below:


Business Transfers: As we develop our business, we might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganization, bankruptcy, dissolution or similar event, your information may be part of the transferred assets.


Consent: We may transfer your information with your consent.


Related Companies: We may also share your information with our Related Companies for purposes consistent with this Privacy Policy.


Developers: Developers using our SDK or API will have access to their end users’ information, including message content, message metadata, and voice metadata. Developers must use such information only to provide the SDK/API functionality within their applications and/or services.


Agents, Consultants and Related Third Parties: Like many businesses, we sometimes hire other companies or individuals to perform certain business-related functions. Examples of such functions include mailing information, maintaining databases and processing payments.


Legal Requirements: We may disclose your information if required to do so by law or in the good faith belief that such action is necessary to (i) comply with a legal obligation, (ii) protect and defend the rights or property of the Company or Related Companies, (iii) protect the personal safety of users of the Services or the public, or (iv) protect against legal liability.


Aggregated or Non-identifiable Data: We may also share aggregated or non-personally identifiable information with our partners or others for business purposes.

7. Unsolicited information    


You may provide us with ideas for new products or modifications to existing products, and other unsolicited submissions (collectively, “Unsolicited Information”). All Unsolicited Information shall be deemed to be non-confidential and we shall be free to reproduce, use, disclose, and distribute such Unsolicited Information to others without limitation or attribution. 

8. Children


Our Services are for users age 13 and over and we do not knowingly collect personal information from children under the age of 13. If you are a parent or guardian of a child under the age of 13 and believe he or she has disclosed personal information to us please contact us at wasder@wasder.co. For residents of the EEA, where processing of personal information is based on consent, Wasder will not knowingly engage in that processing for users under the age of consent established by applicable data protection law. If we learn that we are engaged in that processing with such users, we will halt such processing and will take reasonable measures to promptly remove applicable information from our records.

9. Links to other websites


This Privacy Policy applies only to the Services. The Services may contain links to other web sites not operated or controlled by us (the “Third Party Sites”). The policies and procedures we described here do not apply to the Third Party Sites. The links from the Services do not imply that we endorse or have reviewed the Third Party Sites. We suggest contacting those sites directly for information on their privacy policies.

10. Data retention


We generally retain personal data for so long as it may be relevant to the purposes identified herein. To dispose of personal data, we may anonymize it, delete it or take other appropriate steps. Data may persist in copies made for backup and business continuity purposes for additional time.

11. Security


We take reasonable steps to protect the information provided via the Services from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. However, no Internet or email transmission is ever fully secure or error free. In particular, email sent to or from the Services may not be secure. Therefore, you should take special care in deciding what information you send to us via email. Please keep this in mind when disclosing any information via the Internet.


12. Your data rights and choices

We believe that users should be treated equally no matter where they are, and so we are making the following options to control your data available to all users, regardless of their location.
You can update certain information by accessing your profile via “Settings.” You can also unsubscribe from certain emails by clicking the “unsubscribe” link they contain. You can opt out from certain cookie-related processing by following the instructions above in “Other Information.”


Individuals in the European Economic Area, Canada, Costa Rica and some other jurisdictions outside the United States have certain legal rights to obtain confirmation of whether we hold personal data about them, to access personal data we hold about them (including, in some cases, in portable form), and to obtain its correction, update, amendment or deletion in appropriate circumstances. They may also object to our uses or disclosures of personal data, to request a restriction on its processing, or withdraw any consent, though such actions typically will not have retroactive effect. They also will not affect our ability to continue processing data in lawful ways.

 

  • How can I access the personal data you have about me?


If you would like to submit a data access request, you can do so by emailing us on Wasder@wasder.co. We will then start the process and provide you a link to access the personal data that Wasder has on you within 30 days. This will later happen through an in-app/website link. 

 

  • How do I correct, update, amend, or delete the personal data you have about me?


In addition to the functionality available through the “Settings” of the Services, in which you can correct, update, amend, or delete certain personal data, you can also request other modifications from us directly. Please write us at wasder@wasder.co with the words “Personal Data Request” in the subject or body of your message, along with an explanation of what data subject right you are seeking to exercise. For your protection, we may take steps to verify identity before responding to your request.

 

  • How do I object or restrict the manner in which Wasder processes my personal data?


You have a right to ask us to stop using or limit our use of your personal data in certain circumstances—for example, if we have no lawful basis to keep using your data, or if you think your personal data is inaccurate. Wasder will offers you the ability to restrict the processing of your data for specific uses, this functionality will be found in the “Settings” page of the services upon release of Wasder’s beta program. Individuals in the European Economic Area have the right to opt out of all of our processing of their personal data for direct marketing purposes. To exercise this right, please see the “Settings” page for your Account, after release of the beta program of wasder. If you wish to exercise this right now, contact us at wasder@wasder.co.


 You may also click the “unsubscribe” link in any of our marketing emails.The rights and options described above are subject to limitations and exceptions under applicable law. In addition to those rights, you have the right to lodge a complaint with the relevant supervisory authority. However, we encourage you to contact us first, and we will do our very best to resolve your concern.

13. Changes to this privacy policy and Terms of Service


We reserve the right to update or modify this Privacy Policy at any time and from time to time without prior notice. Please review this policy periodically, and especially before you provide any information. This Privacy Policy was last updated on the date indicated above. Your continued use of the Services after any changes or revisions to this Privacy Policy shall indicate your agreement with the terms of such revised Privacy Policy.
